1) Acceptance of Terms
These Terms govern your access to and use of the Solve.ai website, APIs, and related services (the "Services"). By using the Services, you agree to these Terms and to our Privacy Policy. If you are entering into these Terms for an entity, you represent that you have authority to bind that entity.
2) Definitions
· “Customer”, “you” – the person or entity using the Services.
· “End User” – an individual interacting with Customer through the Services (e.g., call/SMS recipient).
· “Content” – data, text, audio, messages, or materials transmitted, recorded, or stored via the Services.
3) Accounts & Security
Provide accurate information, keep credentials confidential, and notify us promptly of any breach. You are responsible for all activity under your account. Enable multi‑factor authentication where available.
4) Service Scope
The Services enable programmatic communications and automations. We may modify or discontinue features; material changes will be communicated with reasonable notice. We may suspend access to protect the Services, comply with law, or prevent harm.
5) Acceptable Use (Strict)
· No unlawful, harmful, deceptive, or misleading content; no infringement, defamation, or violation of privacy rights.
· No unsolicited communications; obtain explicit, provable opt‑in and honor applicable opt‑out rules (e.g., CAN‑SPAM, TCPA, CASL).
· Do not evade carrier or platform filtering (including sender‑rotation/snowshoeing) or engage in artificial inflation of traffic (AIT) or SMS pumping.
· Do not spoof identities or misrepresent affiliations; do not use public URL shorteners (e.g., bit.ly) in outbound messages—use branded domains.
· Obtain and maintain any required registrations/approvals (e.g., country‑specific Sender ID) before sending traffic.
· Recording/transcription may require notice and consent; you are responsible for configuring call flows to play consent prompts where applicable.
6) Customer Responsibilities
· Compliance: You will comply with applicable telecom, spam/marketing, and privacy laws in the United States and Canada.
· Consent: You are responsible for valid End‑User consent and honoring withdrawals of consent.
· Content: You are solely responsible for Content and its legality.
· Configuration: You will configure rate limits, geo permissions, and fraud controls appropriate to your use case.
7) Fees, Taxes, and Overage
You agree to pay fees in your plan/order plus applicable taxes and pass‑through carrier costs. We may adjust pricing with notice. Late payments may incur interest and result in suspension.
8) Data Protection & Privacy
Our processing of personal data is described in the Privacy Policy. Where we process personal data on your behalf, the Data Processing Addendum (DPA) applies.
9) Sub‑processors & Third‑Party Services
We may use third‑party service providers (sub‑processors) for hosting, communications, analytics, and support tooling. We remain responsible for our obligations to you and for ensuring sub‑processors are bound by appropriate data‑protection commitments.
10) Intellectual Property
We and our licensors own all rights in the Services and related IP. You are granted a non‑exclusive, non‑transferable, revocable right to use the Services during the term. Feedback may be used to improve the Services without obligation.
11) Confidentiality
Each party will protect the other's confidential information with at least reasonable care and use it only to perform under these Terms.
12) Warranties & Disclaimers
The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non‑infringement.
13) Limitation of Liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenues, or data. Our aggregate liability arising from or relating to the Services will not exceed the amounts paid by you for the three (3) months preceding the event giving rise to liability.
14) Indemnity
You will indemnify and hold us harmless from claims arising out of your Content or your use of the Services in violation of these Terms or law.
15) Termination
Either party may terminate for convenience on thirty (30) days’ notice (if a paid plan), or immediately for material breach. We may suspend or terminate immediately for unlawful conduct, risk of harm, non‑payment, or legal/regulatory requests.
16) Export Controls, Anti‑Corruption, and Sanctions
You represent that neither you nor your beneficial owners are subject to sanctions and that you will comply with export‑control and anti‑corruption laws.
17) Governing Law & Venue (U.S. Priority)
These Terms and any dispute, claim, or controversy arising out of or relating to them or the Services will be governed by and construed in accordance with the laws of the State of New Mexico and applicable U.S. federal law, without regard to conflict‑of‑laws principles. The parties submit to the exclusive jurisdiction and venue of the state and federal courts located in Bernalillo County, New Mexico, USA. To the extent any foreign law would apply to diminish protections granted herein, the parties agree the foregoing U.S. terms control.
18) Changes to Terms
We may update these Terms from time to time. Material changes will be notified via the Services or email. Continued use after changes constitutes acceptance.
19) Entire Agreement
These Terms, together with the Privacy Policy and any order forms, constitute the entire agreement, superseding prior agreements. If there is a conflict with a signed agreement, the signed agreement controls.
